Become an Attorney of Securities & Corporate Governance at Southern California Edison (SCE) and build a better tomorrow. In this job, you’ll be primarily responsible for ensuring SCE’s and Edison International’s compliance with securities laws, advising management on disclosure issues, drafting disclosure, and monitoring legal developments in securities laws. You will report to a Director/Managing Attorney and will also work in other areas of the Section as needed. You must be able to work independently, be attentive to detail, identify legal and business risks, and communicate effectively with senior management. We are seeking a candidate who has the ability to simultaneously manage a wide range of assignments, work quickly and effectively under pressure, and prioritize activities. A high level of professionalism, diplomacy and judgment is also essential.

Your primary responsibilities will include working closely with SCE’s financial reporting staff to prepare the companies’ Securities and Exchange Commission filings under the Securities Exchange Act of 1934, including Forms 10-K, 10-Q, and 8-K; monitoring and advising management on new legal requirements and disclosure practices among peer companies; providing legal advice regarding compliance with securities laws and sensitive disclosure issues, including Regulation FD; managing the process relating to summarizing the contingent liabilities of the company; providing support to the Corporate Secretary’s office, including preparation and review of audit committee materials, resolutions and minutes; and responsibility for the company’s compliance program for the prevention of insider trading.

Responsibilities

  • Serves as Lead Attorney or First Chair on medium-sized or more discrete legal matters, but with growing complexity; serves as Second Chair or provide support on significant legal matters
  • Anticipates and identifies critical legal operating, technological, and environmental risks and works with stakeholders to develop appropriate and effective mitigation strategies
  • Provides legal advice on complex issues that may have significant strategic or performance implications for the organization
  • Drives processes and procedures for contracts, as appropriate and the implementation of best practice under the guidance of Senior Attorneys
  • Analyzes and drafts legal memoranda assessing the merits and respective legal risks and opportunities with focus of different problem-solving approaches
  • Creates business-oriented legal reports and correspondence and effectively presents legal information to senior management; helps to lead regulatory and enforcement matters which involves drafting and preparing of contracts or regulatory filings, as appropriate, and/or testimonies and reports, and advocating company positions at hearings
  • Influences specialist legal operations and projects in a way that manages key legal and regulatory risks, while balancing the interests of all stakeholders
  • Leads the negotiating and drafting of a wide variety of agreements or submissions
  • Participates in the designing of the legal strategy for draft proposed legislation
  • Oversees, strategically and cost-effectively, the management and partnership with outside counsel contentious/ litigation matters
  • A material job duty of all positions within the Company is ensuring the protection of all its physical, financial and cybersecurity assets, and properly accessing and managing private customer data, proprietary information, confidential medical records, and other types of highly sensitive information and data with the highest standards of conduct and integrity

Minimum Qualifications

  • Bachelor's degree and hold a Juris Doctor (J.D.); member of California bar or willing to obtain license.
  • Three full years practicing as an attorney; demostrates experience handling moderately sophisticated legal matters independently or discrete aspects of a larger complex matter.

Preferred Qualifications

  • Significant relevant legal experience with federal and state securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, Regulation FD, Regulation G and Sarbanes-Oxley.
  • Utility industry experience.
  • Experience working with financial statements.
  • Strategic problem solver with strong analytical ability and business acumen to provide legal advice within a business context.
  • Strong interpersonal skills and the ability to work effectively as part of a team, including the ability to promote positive cooperation within the legal team, with other SCE personnel, and with outside counsel.
  • Experience interacting with senior management and non-lawyer clients and stakeholders.

Additional Information

  • This position’s work mode is hybrid. The employee will report to an SCE facility for a set number of days with the option to work remotely on the remaining days.  Unless otherwise noted, employees are required to work and reside in the state of California.  Further details of this work mode will be discussed at the interview stage. The work mode can be changed based on business needs.
